| The share sale | On Wednesday, Oct. 14, 2026, Tron Inc. agreed to sell up to $200 million of common stock over time through Clear Street LLC. Neither side has to sell any shares. |
|---|---|
| The stated use | The company says the net proceeds would go primarily toward more TRX, plus working capital and general purposes. Managers can apply the money in other ways. |
| The June books | As of June 30, 2026, Tron reported 12,863,291 TRX and 559,377,041 staked sTRX tokens. Combined fair value was $233.8 million. |
| The dilution | A full sale at the Oct. 13 close of $1.22 would add about 163.9 million shares. The filing leaves those tokens out of tangible book value. |
The Tron $200 million share sale, disclosed Wednesday, Oct. 14, 2026, lets Tron Inc. sell common stock over time through Clear Street LLC and use the net proceeds primarily to buy more TRX tokens, the company said in a prospectus supplement filed that day with the Securities and Exchange Commission (SEC).
What the Tron $200 million share sale allows
Tron Inc., of Winter Park, Florida, says it trades on the Nasdaq Capital Market as TRON. Its Form 8-K says it signed a sales agreement with Clear Street on Wednesday, Oct. 14. An at-the-market offering sells new shares into the market at the current price, in amounts the company chooses.
The prospectus supplement caps the deal at $200 million of common stock, par value $0.0001. Clear Street may sell as agent, or buy blocks as principal if both agree. Its commission is up to 3% of gross proceeds. Either side may end the agreement on ten days' written notice. The 8-K states that "neither the Company nor Clear Street has an obligation to sell any shares of Common Stock."
Net proceeds are for growth "primarily by acquiring additional TRX tokens, and for working capital and general corporate purposes," the supplement says. Managers have wide discretion, and the company may sell nothing. The shares come off shelf registration 333-288986, effective Monday, March 30, 2026, for up to $1 billion of securities. The filings report no completed sales under this agreement.
What the filings show about the TRX pile
The quarterly report for the period ended June 30, 2026, filed Tuesday, Aug. 11, lists 12,863,291 TRX and 559,377,041 sTRX. Fair value was $4,051,937 and $229,732,973, or $233,784,910 together, plus a $10,050,000 prepayment for tokens not yet delivered.
sTRX is what Tron gets for staking TRX on JustLend, a lending protocol on the TRON blockchain. Staking commits TRX to the network in return for rewards. The report says sTRX "is not fixed at a 1:1 conversion ratio" with TRX. One sTRX converts into more TRX as rewards pile up, so the two lines are not a single balance. TRX pays network fees.
The quarterly report describes a Tuesday, Jan. 6, 2026 agreement with BiT Global Digital Limited that sends $50,000 of TRX a day, priced in the stablecoin USDT, for 360 days from Thursday, Jan. 22, 2026, through Saturday, Jan. 16, 2027. By June 30, Tron had received about 25,350,215 TRX, costing $7,950,000, of an $18 million plan funded by Black Anthem Limited's USDT stock purchase. The treasury page then lists 4,710,901 TRX in July at $0.329, 4,614,060 in August at $0.3359, and 4,433,237 in September at $0.3384.
Cointelegraph reported on Thursday, Oct. 15, a treasury of 718.9 million TRX, about $237 million, after a buy that day of 149,369 TRX at $0.3347. Those totals are not in the Oct. 14 prospectus or the June 30 report. The quarterly report says the company posts daily purchase updates. The Oct. 15 trade is not in the share-sale filings.
Who controls Tron, and what else it sells
Bravemorning Limited held about 88.5% of the vote on June 30, 2026, the quarterly report says. Chairman Weike Sun is the sole shareholder of that British Virgin Islands firm. His son Justin Sun founded the TRON network in 2017 and advises Tron Inc. Justin Sun controls Black Anthem, which paid $18 million in USDT for 13,067,151 shares. That sale closed Thursday, Jan. 8, 2026. Richard Miller is chief executive.
The other business is toys and souvenirs for parks including Disney, Universal, SeaWorld, and Six Flags. Toy sales were $2,753,301 in the six months ended June 30, 2026, against $2,432,563 in the six months ended June 30, 2025. Digital-asset income in the 2026 half was $27,756,755, and net income was $24,496,297. The Nevada company, incorporated April 22, 2022, was SRM Entertainment, Inc. It says it has no direct link to TRON DAO.
Non-affiliates held 52,465,676 shares as of Tuesday, Oct. 6, the prospectus says. Tron called the public float $112,801,203, using a $2.15 price from Aug. 26, 2026. Times the Oct. 13 price of $1.22, that count comes to about $64 million. The $200 million cap is larger than both. Outstanding common stock before the offering was 474,432,064 shares.
Share price, and what the dilution math counts as cash
The prospectus uses Tuesday, Oct. 13's $1.22 last sale. Yahoo Finance daily prices show a Wednesday, Oct. 14 close of $1.20. On Thursday, Oct. 15, TRON opened at $1.18, 1.7% under that close, touched a one-year low of $1.08, and the latest print was $1.175. Volume was 1,761,175 shares.
Cointelegraph, citing Yahoo Finance, said the shares opened 4.7% lower on Thursday, Oct. 15, toward a roughly 67% drop over 12 months. The daily open was 1.7% lower. From the Thursday, Oct. 16, 2025 close of $3.15, the $1.175 price is down 62.7%. From the $3.64 high in that history, the decline is 67.7%.
Selling all $200 million at $1.22 would add 163,934,426 shares, for 638,366,490 outstanding. Tangible book value was about $0.02 a share on June 30, with the tokens and prepayment excluded as intangible assets. After a full sale, Tron puts that figure at about $0.32 a share, or $203.8 million, and dilution at about $0.90 for a buyer paying $1.22. The estimate assumes the cash stays. Buying TRX with it would move that cash into assets excluded from tangible book value.
